1.Who we are

ARIOS is a relationship-intelligence and go-to-market execution platform operated by Eynur Ahmadov, trading as Pangratis AI ("we", "us", "our"), an individual established in Georgia at Ketevan Tsamebuli 24, Tbilisi, Georgia. (Pangratis AI LLC is in formation; these terms will be updated to name the company once it is registered.) "ARIOS", "you" and "your" refer to the person or organisation using the platform.

Our customers may be located in Georgia, the European Union, the United States, or elsewhere. These Terms apply worldwide, subject to any mandatory local laws that cannot be excluded.

2.Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract.
• ARIOS is a business tool intended for professional and organisational use, not for consumers acting for personal purposes.
• You are responsible for the security of your account credentials and for all activity under your account. Tell us promptly at sales@pangratis.com if you suspect unauthorised access.
• If you use ARIOS on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

3.The service & early access

ARIOS helps teams organise accounts, contacts, events, and signals and turn them into approved outreach and internal actions. Features, integrations, and availability may change, be added, or be removed at any time.

Early access / beta. ARIOS is currently offered on an early-access basis. Early-access features may be incomplete, may contain errors, may change without notice, and may be withdrawn. Do not rely on ARIOS as your sole system of record. You are responsible for keeping your own backups of anything important to you.

ARIOS does not send external communications (email, WhatsApp, LinkedIn, SMS, or similar) on your behalf automatically. Any message to an external contact must be reviewed and sent by you. You are solely responsible for outreach you send and for complying with anti-spam, marketing, and communication laws that apply to it.

4.Acceptable use

You agree not to, and not to allow anyone else to:

• use ARIOS to violate any law, regulation, or third-party right, including data-protection, privacy, intellectual-property, and anti-spam laws;
• upload, store, or process personal data you have no lawful basis or right to process;
• send unsolicited bulk or unlawful communications using data organised in ARIOS;
• reverse engineer, scrape, resell, or copy the platform, or attempt to access it in an unauthorised way;
• upload malware, interfere with, overload, or probe the service or its security;
• misrepresent AI-generated content as verified fact without your own review.

We may investigate and act on suspected breaches, including suspending access.

5.Your data & content

You keep ownership of the data and content you put into ARIOS ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and improve the service for you and to provide support.

You are responsible for the accuracy and lawfulness of Your Content and for having the necessary rights and lawful basis for any personal data it contains. How we handle personal data is described in our Privacy Policy and Data & Compliance statement.

6.AI-generated output

ARIOS uses artificial intelligence (including third-party models) to generate briefs, drafts, suggestions, and enrichment. AI output can be inaccurate, incomplete, biased, or out of date. It is provided to assist you, not to replace your judgement.

• You must review AI output before relying on it, sending it, or acting on it.
• We do not warrant that AI output is accurate, current, or fit for any purpose.
• You are responsible for decisions and communications you make based on AI output.

7.Third-party services

ARIOS relies on third-party providers (for example cloud hosting, database and authentication, AI models, and data-enrichment and logo providers). Your use of those integrations may be subject to their own terms. We are not responsible for third-party services, their availability, or their content, and we are not liable for loss caused by them.

8.Intellectual property

ARIOS, including its software, design, branding, and content (excluding Your Content), is owned by Pangratis AI and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use ARIOS during your access period. All rights not expressly granted are reserved. You may not use our name, logo, or brand without prior written permission.

9.Fees

Early access may be provided free of charge. If we introduce paid plans, pricing and payment terms will be presented before you subscribe, and any card payments will be handled by a third-party PCI-compliant payment processor. We do not store full payment-card numbers ourselves (see Data & Compliance). We may change fees on reasonable notice.

10.No warranty — "as is"

To the maximum extent permitted by law, ARIOS is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement. We do not warrant that the service will be uninterrupted, secure, error-free, or that any data, enrichment, or AI output is accurate or complete.

11.Limitation of liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, goodwill, business, opportunity, or data, however caused.
• We are not liable for loss arising from: your reliance on AI output or enrichment data; lost, inaccurate, or corrupted data; service interruptions or downtime; third-party services; outreach you send; or your failure to keep backups.
• Our total aggregate liability arising out of or relating to ARIOS and these Terms, for all claims combined, will not exceed the greater of (a) the total fees you paid to us for the service in the three (3) months before the event giving rise to the claim, or (b) USD 100.

12.Indemnity

You agree to indemnify and hold Pangratis AI harmless from claims, damages, and reasonable costs (including legal fees) arising from your use of ARIOS in breach of these Terms or applicable law, Your Content, or communications you send using data organised in ARIOS.

13.Suspension & termination

You may stop using ARIOS at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or if we discontinue the service. On termination, your right to use ARIOS ends. We may delete Your Content after a reasonable period; export anything you need beforehand. Sections that by their nature should survive (including IP, disclaimers, liability, indemnity, and governing law) survive termination.

14.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Continued use of ARIOS after changes take effect means you accept the updated Terms.

15.Governing law & disputes

These Terms are governed by the laws of Georgia, without regard to conflict-of-law rules. Subject to any mandatory rights you have under your local law, the courts of Tbilisi, Georgia have exclusive jurisdiction over any dispute. We each agree to try in good faith to resolve any dispute informally by contacting the other first.

16.General

• These Terms, together with the Privacy Policy and Data & Compliance statement, are the entire agreement between us regarding ARIOS.
• If any provision is found unenforceable, the rest remains in force and the provision is limited to the minimum extent necessary.
• Our failure to enforce a right is not a waiver of it.
• You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
